The European Forum of the International Bar Association and the Legal Development Foundation have announced the fifth annual Balkan Legal Forum, which will be held on November 5 - 7, 2008 at the Sheraton Hotel in Sofia, Bulgaria.

DunnCox wishes to bring to your attention that the Minister of Finance has recently announced a tax amnesty affecting all tax types (Transfer Tax, Stamp Duty, Property Tax, General Consumption Tax, Income Tax, Education Tax, Asset Tax, Contractors Levy, Special Consumption Tax). This will result in waivers of interest and penalty being granted, once the principal sum owing is paid in full.
This amnesty began on May 1, 2008 and will end on October 31, 2008. Once the outstanding tax owing is settled within this period, the Minister will waive the interest and penalty which would normally have been payable thereon.
If the principal sum or any arrears thereof is paid in full by or before 30th June 2008, the entire (100%) interest and penalty due thereon will be waived. Thereafter, the undermentioned rates of waiver will apply if payment is made by:-
• 31st July, 2008 – 80%
• 31st August, 2008 – 50%
• 30th September, 2008 – 40%
• 31st October, 2008 – 20%

RPC makes up partner to new international trade and arbitration group
City law firm Reynolds Porter Chamberlain LLP (RPC) has promoted litigator Iain Sharp to partner. He joins the newly formed International Trade and Arbitration Group which will focus on disputes arising out of international trade and, in particular, commodities and transport-related problems - areas in which RPC has seen considerable growth in recent years. The group will be headed by Tim Brown.
Iain specialises in dispute resolution including litigation, arbitration (domestic and international), negotiation and alternative dispute resolution. Iain has a wide range of experience and has been involved in matters ranging from general commercial, international trade, shipping, banking and finance disputes, and insurance/reinsurance.
Iain joined RPC in 2005, having previously worked for Clyde & Co, Richards Butler (Hong Kong) and Pinsent Masons.
Says group head Tim Brown: "The creation of the International Trade and Arbitration Group is a response to a significant increase in this type of work. Iain has great international dispute experience and will really help drive this practice area forward."

The firm represented an insurance group with operations in Venezuela and the Caribbean in its acquisition of the Ancon insurance group, including Aseguradora Ancón, S.A., Panama's sixth largest insurer. The transaction was completed through share purchases and Morgan & Morgan assisted the buyer in all aspects related to the acquisition, including the negotiation of the offer letter, the due diligence (through its office in Panama and the British Virgin Islands) and drafting and negotiating contracts, which included a holdback through a trust structure with an international bank. Francisco Arias G. and Claudia D'Anello were principally involved in the transaction, although other lawyers from the firm contributed in their respective areas of expertise. After closing, Mr. Arias was asked by the purchaser to assume a position on the Board of the group so acquired. |

McCallum is a recipient of the second annual Stephen H. Schulman Outstand ing Business Lawyer

On August 28th, 2007, at Panama’s Chamber of Commerce, the Ministry of Trade and Industry presented Law No. 41 of 2007, "which creates a special regime for the establishment of regional or multinational headquarters in Panama". The event was opened by Dr. Eduardo Morgan Jr., senior partner of the law firm Morgan & Morgan, who explained the origins of the law, which was based on a memorandum he had sent to President Martin Torrijos on the matter. Dr. Morgan explained that his vision was inspired on Singapore's similar initiative, as well as Panama’s traditional inclination to export services and provide an appropriate environment to foreign and local investment.
Ms. Carmen Vergara, Vice minister of Trade and Industry expressed the Government’s commitment to promote Panama as a major operational post for multinationals in the region. She explained that the Trade and Industry Ministry will engage in a promotional tour in the developed world, to attract multinationals’ headquarters. The fact that Panama has developed an excellent level of connectivity (sea, air, and telecommunications), has created the opportunity for the country to take advantage by creating this new legal framework.
The law’s main objective is to eliminate red tape through one single license process centralized at the Trade and Industry Ministry. Its main benefits are total exemption on income taxes; possibility of negotiating a tax scheme for world wide taxation planning; and, exemption from sales tax for services rendered to related corporations abroad.
It also provides for a wide range of labor and immigration benefits. Among them, total tax and social security exception for main executives; visas with an expedited procedure for approval; elimination of labor permits for special visas holders; non applicability of labor quotas (percentage of locals that have to be hired).

Dear European Terralex representatives and European members of the Labour
and Employment Practice Group
Following the recent conference in London we are hoping to arrange meetings
of members of various Terralex practice groups. The advantage of such
meetings is that lawyers in Terralex firms practising for example in
particular fields will come to know each other and their respective firms.
This should increase knowledge of and confidence in Terralex and each
other's firms, and so encourage referrals. At the same time the opportunity
can be taken for some continuing education in topics common to the different
European jurisdictions.
The aim will be to meet at a convenient location not far from an airport.
The meetings will be for one day only, but in order to give the best
opportunity for networking can perhaps be combined with dinner the previous
evening.
After discussion with Charlie McCallum, the Chairman of Terralex, Brahm
Gelfand, the Vice Chair for Practice Groups, Mikael Pelan, the relevant
practice group chair in Europe, and Jacqui Kiviat, Executive Director, we
are starting with a meeting of the members of the Labour and Employment
Group. There are numerous strands in employment law which are common to
many European jurisdictions, and so this meeting should prove extremely
useful to all who attend.
Reynolds Porter Chamberlain will be happy to act as hosts, and we have fixed
on Friday 23 November in London for this first meeting. It will be held at our office
by the Tower of London which is only a few minutes by taxi from London
City airport. The meeting will start at 10.00am so as to allow time for
participants to fly in that morning. However, we will also arrange a dinner
the previous evening, Thursday 22 November, and hope that many will
attend. There will be a modest charge for the dinner to
cover costs.
It would be useful to know how much interest there is in this meeting, and I
should be grateful if you would tell me by email if you propose to attend
and, if so, whether you will be at the dinner the previous evening. I
should explain that I have retired as a partner and am now working part-time
as a consultant.
We will wish to have a good agenda, and so please feel free to suggest
topics and let me know if you would be willing to speak or join a panel. Our initial
thoughts on the agenda are that it might include the approaches in different
jurisdictions to -
- The Acquired Rights Directive in the context of acquisitions involving more than one country;
- European Works Councils;
- Discrimination;
- Termination of employment.
Perhaps following the meeting a booklet might be prepared on at least one of these topics.
As well as the members of the Labour and Employment Group, this email is
also addressed to Terralex representatives of European member firms. We are
conscious that many of the names in the practice group ListServe may be out
of date. I should be very grateful if you would check your firm's entries
in the ListServes and make any changes that are required. Please do this
first for the Employment Group and ensure that this email is forwarded as
appropriate. But please also update your firm's entries on the other
practice group ListServes. This can easily be done by going to the Practice
Group section of the Terralex web site.
