  • Antitrust and Competition
    The Antitrust and Competition Law Practice Group focuses on the application of U.S. antitrust law and EU and other competition law rules to the activities of corporations, trade associations, and individuals, including: 1) Mergers & acquisitions; 2) Domestic and international joint ventures and other horizontal arrangements among potential or actual competitors; 3) Vertical distribution, pricing and marketing arrangements, including customer, product, and territorial restraints; and 4) Counseling with respect to the development and implementation of antitrust compliance programs. In addition, the Practice Group follows developments in the general area of trade regulation involving unfair, fraudulent or deceptive practices.
  • Banking
    The purpose of the Banking Practice Group is to regularly discuss and exchange information regarding issues associated with the banking business and to constantly increase the know-how of its members. Some of the topics covered are: standard banking practices, money laundering, regulations and obligations to exercise diligence, issue and validity of banking guarantees and indemnities, requirements for establishment of banks and other financial institutions, capital market transactions, financing and banking supervision. Cross-border issues and individuals dealing with conflict of jurisdictions in international banking concerns are of particular interest.
  • Bankruptcy/Insolvency
    The size and complexity of bankruptcy filings impact businesses around the globe in today's financial climate. It is essential that a general understanding of the intricate insolvency laws exist to protect TerraLex members' clients. The Insolvency/Bankruptcy Group has focused its efforts on exchanging information on bankruptcy, insolvency and creditor's rights issues in jurisdictions represented by its members and in cross border insolvency cases. In a practice area in which both speed and local expertise can be crucial to success, the Group's membership list has proved to be an invaluable tool in obtaining prompt and knowledgeable assistance.
  • Corporate / Securities
    The Corporate Practice Group addresses common issues and practice problems to establish a dialogue focused on commonality, as well as discreet differences, in order to further establish practice guides, discussion papers and ultimately move toward a set of corporate forms and documents that can be used by TerraLex firms and their clients.

  • Energy Sector
    The Energy Sector Group is comprised of lawyers who represent clients active in the energy industry. Members handle both energy-related transactions and disputes among companies involved in extraction, processing and delivery of energy sources such as coal, oil, gas, and biomass, as well as generation and transmission of electricity using the same fuels and wind, solar, hydro, nuclear and other sources of energy.

    Members of the group provide advice to clients on legal matters related to all stages of the development and financing of both renewable energy infrastructure and generation projects and traditional oil and gas, power and infrastructure projects. Members can assist in evaluating facility design and construction arrangements, liaising with government authorities, assessing environmental issues and permitting requirements, developing access infrastructure, managing risk in procurement and off-take transactions (PPAs), maximizing tax incentives, or developing financing structures.

    The Energy Group focuses on sharing among the members the capabilities that each firm has in the energy sector and on building relationships among the lawyers who practice in the area. The group has participated in organizing and presenting programs at both the 2006 and 2007 TerraLex Annual General Meetings.
  • Environmental
    The Environmental Law Practice Group serves as a forum for discussing how the various jurisdictions represented by its members address environmental problems and provides a means for practitioners in environmental law and climate change to become better acquainted.
  • Government Affairs
    The Government Affairs and Public Policy Practice Group is comprised of attorney members who represent clients before legislative and administrative bodies at all levels of government – whether it be local, state or federal policy makers and agencies.

    Because laws and regulations encountered by TerraLex members and their clients can vary significantly from city to city, state to state, and Nation to Nation, the Government Affairs and Public Policy Practice Group members can provide invaluable assistance to clients in dealing with these situations.

    Examples of such services provided are: Representation of clients before legislative and administrative bodies in dealing with laws, statutes, or ordinances affecting their business; and assisting clients engaged in such businesses as mining, healthcare, insurance, taxation, transportation, energy, utilities, gaming, etc. with issues of licensing, permitting, and regulatory matters.
  • Intellectual Property, Licensing and Technology
    The TerraLex Intellectual Property, Licensing and Technology Practice Group is the result of the recent merger between the Intellectual Property Practice Group and the International Licensing Practice Group. This newly enlarged and improved group now focuses on the collaboration between TerraLex members of the practice group in three distinct areas of Intellectual Property: (i) commercial transactions involving intellectual property and technology, such as licenses, collaborations, research and development agreements, technology acquisitions and the formation of joint ventures and other types of strategic partnerships and alliances; (ii) prosecution of the many different types of intellectual property, including patents, trademarks and copyrights; and (iii) litigation and enforcement of rights relating to intellectual property.
  • International Arbitration and Mediation
    Our practice group list counts 77 arbitrators and mediators from member firms around the world, whose services cab be utilized by our firms an their clients. Over the years we have presented programs at AGMs on matters of topical interest relating to dispute resolution attracting 30-40 participants for each session. In September 2007 we presented a program during the Mexico City AGM on cross border mediation. During the Cape Town AGM, we presented a multi-jurisdictional program on what works and what does not work in arbitration clauses. We are in the process of collecting and collating responses to a multi-jurisdictional questionnaire on how the New York Convention operates in different countries. The results will be presented later this year in Atlanta and/or Hong Kong and will be accessible to all member firms on the TerraLex website as a tool to be used in their practices.
  • International Trade & Customs Group
    The International Trade and Customs Law Practice Group is comprised of lawyers in law firms around the Globe who have experience and expertise within the many industries affected by international trade and customs law. The Group’s essential tasks will include: continuing legal education by way of seminars at annual and other meetings; exchange of papers and published materials pertaining to the practice of international trade law and customs law; and sharing of information with respect to changes in domestic law. Of particular importance, will be the creation of an “Alert” system to advise members, in a timely fashion, of steps being taken or proposed to be taken by government agencies (usually anti-dumping, subsidy, and safeguard actions) instituted in any one of the TerraLex countries which will serve to advise members of the Group of details and possible targets for legal representation.
  • Labor & Employment
    The Labor and Employment Law Practice Group focuses on the importance of labor law for cross-border transactions and other aspects dealing with conflict of jurisdictions. The group also covers problems related to cross-border stock option plans and general labor law-related due diligence issues.
  • Marketing Professionals
    The TerraLex Marketing Professionals (TMP) group is comprised of business development and communications experts located at member firms around the globe. By sharing best practices and ideas, the TMP group contributes significantly to everyone's success.
  • Mergers and Acquisitions
    The Mergers & Acquisitions Practice Group is one of the largest practice groups within the TerraLex Network. Its attorney members have vast experience in planning, negotiating and executing national and transborder transactions of all types. TerraLex M&A attorneys are advising on small and medium sized acquisitions of privately held companies, as well as on large transactions involving publicly listed international corporations.

    The day-to-day work involves, for example, due diligence, strategic planning of the acquisition process, bidding procedures, the drafting and negotiation of complex transaction documentation, regulatory and capital market issues, as well as the post-merger integration. Very often the transactions have a cross-border angle. In those cases TerraLex attorneys from different jurisdictions and of different practice goups work together seamlessly and efficiently to bring about the best possible results.
  • Private Equity
    The Private Equity Practice Group is comprised of attorney members who represent private equity investors and the companies in which they invest. The attorneys in this group have a long, strong presence in the worldwide private equity community. They represent private equity participants and venture capitalists in fund formation, portfolio investments, and throughout all phases of the investment cycle. They also represent private equity-backed companies in all aspects of their business, including mergers & acquisitions, recapitalizations, debt financings, employment matters (including employee equity plans), technology licensing and protection, strategic relationships, corporate governance, initial and follow-on public offerings and PIPES deals. They are experienced in the types of issues private-equity backed companies confront in such transactions.

    In recent years, the private equity markets have become increasingly international and cross-border. The Private Equity Practice Group members provide invaluable assistance to clients who are investing in foreign jurisdictions, or who are receiving investments from abroad. They help clients know what to expect when engaged in a cross-border private equity transaction and how to avoid common pitfalls and mistakes.
  • Real Estate
    The objective of the Real Estate Practice Group is to monitor all legal matters related directly or indirectly to Real Estate worldwide. The Group compares Real Estate laws in various jurisdictions and the members of the Group share information on all relevant legal developments.
  • Tax
    The objective of the Tax Practice Group is to share information on new developments and help members gain deeper understanding of domestic and international tax rules. Areas of interest include: 1) Examination of the most important applicable tax rules for companies and individuals in a country. 2) The development of applicable tax rules in a country. 3) Specific favorable tax schemes in some countries. 4) Topics of current importance, such as money laundering, tax avoidance, tax treaties, regional issues, and more generally any comparative analysis of some specific taxes.
  • Toxic Tort
    The objective of the Toxic Tort subgroup will be to foster communication and the exchange of ideas and information among TerraLex members about litigation related to alleged exposures to toxic or dangerous substances. The subgroup consists of TerraLex members who have a practice related to such toxic tort litigation and is also open to TerraLex members who simply have an interest in the practice area.

    The TerraLex members within the subgroup have the opportunity to exchange ideas and information about national, regional and local toxic tort issues. The members will benefit from having the chance to pose questions to other TerraLex members, learn about how courts in other jurisdictions handle particular issues, discuss research being conducted and studies produced, exchange ideas about expert and other witnesses, learn about verdicts in other jurisdictions and trial tactics, communicate about proposed legislation, and discuss toxic tort issues in general. By providing a forum through which toxic tort issues can be discussed and ideas exchanged, TerraLex members will have the opportunity to further develop their toxic tort expertise.
  • Transport & Logistics
    Transport & Logistics is one of the world's fastest growing sectors. As an industry, T&L is an essential element in trade facilitation, and a substantial contributor to GDP in its own right. Transport & Logistics law encompasses both contentious and commercial aspects of maritime, aviation, road & rail, supply chain, transport regulatory, warehousing & distribution and related activities, both domestically and internationally.

    The mission of the Transport & Logistics Law Sector Group is to identify, coordinate and enhance the skill and experience in the Transport & Logistics law area within TerraLex in order to maximize member firms' service offerings to existing and prospective clients.
  • US Litigation
    The U.S. Litigation Practice Group is comprised of attorneys from U.S. member firms who try civil cases and handle civil appeals. The predominant goal of the Group is to provide a forum for the sharing of experiences, strategies and significant decisions of state and federal courts. The Group has created one sector group - Toxic Tort Litigation - and anticipates the creation of others based upon member interest and commitment.
  • Venture Capital
